Job Description

General Accountability:

This position (a) is accountable for corporate governance of Manulife Investment Management Timberland and Agriculture Inc (the “Company”) and its subsidiaries and (b) assists the General Counsel of the Company (“GC”) and Legal team with investment and operational issues of the Legal & Compliance department to support the Timberland and Farmland/Farmland Plus business units of the Company.

Corporate Secretary Responsibilities:

  • Directly responsible for corporate governance of the Company and its subsidiaries globally;
  • Responsible for governance oversight of Client Investment Vehicles and Funds, including supervising and handling Assistant Secretaries who coordinate board meetings for the Company’s 150+ investment vehicles;
  • As Corporate Secretary, communicates/coordinates directly with the Board of Directors and Committees of the Board of the Company;
  • Handles corporate governance and disclosure matters, including production of corporate board mandates, checklists, votes, secretary certificates etc. Responsible for Company’s compliance with MFC Global Subsidiary Governance Policy and reporting to MFC Corporate Secretary;
  • Coordinates and administers board, including portfolio company boards, and committee meetings, including the Company’s Natural Resource Investment Committee and Conflicts Committee. Responsibilities include but are not limited to establishing agendas, coordinating board materials/presentations, recording and reporting meeting minutes and other duties as assigned;
  • Administrator of Diligent Board Books, CSC Entity Management and Blueprint applications which electronically store the Company’s corporate records;

Legal & Compliance Responsibilities:

  • Assist GC and Legal Team in the review and production of legal contracts and documents, including confidentiality agreements and various vendor and consulting contracts
  • Assist GC and Legal Team with management of all phases of acquisition and disposition transactions;
  • Assist the GC in connection with all litigation matters and handle the litigation reporting;
  • Assist the GC and handle audit requests and reporting;
  • Assist GC and Legal Team with operational matters related to the Timberland and Farmland Investments;
  • Assist Chief Compliance Officer (“CCO”) with supervising the Company’s compliance program and policies to ensure compliance with internal government standards. Assists CCO with regulatory filings in US, including Form ADV, AML/KYC, transaction monitoring and FinCen and OFAC searches. Supports other compliance activities including responses to request for production.
  • Collaborates with CCO and Risk Management Committee on global risk matters, including but not limited to occupational health and human safety, licensing, environmental, legal and regulatory, etc.
  • As requested by management, assists with planning and implementation of new Company strategies

Other Responsibilities:

  • Independently investigate problems as assigned by GC and Legal Team, figuring out method of research, data requirements and analysis techniques, preparing reports and summaries as needed;
  • Work closely and collaborate with outside counsel on various matters;

Qualifications:

  • Bachelor's degree or equivalent experience required, in addition a minimum 5+ years of prior full-time paralegal experience in a professional organization (law firm or in-house); paralegal certificate strongly preferred.
  • Experience in corporate governance and contracts as well as regulatory matters highly desirable; Experience with management of subsidiaries.
  • Good social skills, positive demeanor and proven track record to optimally communicate at all levels of the organization (including the board of directors and senior management) and with all types of external contacts.
  • Able to work optimally on a team and coordinate efforts across functions.
  • Handle confidential matters and information with discretion.
  • Organizational skills and the ability to efficiently manage several diverse tasks at the same time to meet required deadlines.
  • Knowledge of Diligent Board Books and entity management programs, such as Blueprint and Corporation Service Company.

Salary & Benefits

The annual base salary for this role is listed below.

Primary Location

Boston, Massachusetts

Salary range is expected to be between

$84,000.00 USD - $151,200.00 USD
